Agreement to Terms ​

By installing, accessing, or using LGS Forge (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the App.

These Terms constitute a legally binding agreement between you ("you," "your," or "Merchant") and LGS Forge ("we," "us," or "our").

Description of Service ​

LGS Forge is a Shopify application that enables merchants to:

  • Sync trading card game (TCG) and collectible products to their Shopify stores
  • Access a catalog of collectible cards, sets, and sealed products
  • Automatically update product prices from market data sources
  • Configure pricing rules (markup, minimums, rounding)
  • Manage product variants (Near Mint, Lightly Played, Moderately Played, Heavily Played)
  • Schedule automated daily price syncs
  • Track sync history and performance metrics
  • Manage multiple Shopify stores from one account (Standalone Mode)

Eligibility ​

To use the App, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have a valid Shopify store with an active subscription
  • Have the legal authority to bind your business to these Terms
  • Comply with all applicable laws and regulations
  • Not be located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country

Account Registration and Security ​

Shopify Embedded Mode ​

  • OAuth authentication through your Shopify store
  • You are responsible for maintaining the confidentiality of your Shopify admin credentials
  • You agree to accept responsibility for all activities that occur under your Shopify account

Standalone Mode (SaaS) ​

  • You must create an account with a valid email address and password
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized use of your account
  • You are responsible for all activities that occur under your account

Account Security ​

  • Do not share your account credentials with unauthorized third parties
  • Use strong passwords and enable two-factor authentication when available
  • We are not liable for losses resulting from unauthorized account access

User Obligations ​

Acceptable Use ​

You agree to:

  • Use the App only for lawful purposes
  • Provide accurate and complete information
  • Maintain accurate store and product information
  • Comply with Shopify's Terms of Service and Acceptable Use Policy
  • Comply with all applicable trading card game and collectible intellectual property policies
  • Respect the intellectual property rights of all applicable rights holders

Prohibited Activities ​

You may not:

  • Violate any laws, regulations, or third-party rights
  • Use the App to sell counterfeit or unauthorized products
  • Attempt to gain unauthorized access to the App or related systems
  • Interfere with or disrupt the App's functionality
  • Use automated tools to scrape or extract data from the App
  • Reverse engineer, decompile, or disassemble the App
  • Use the App to transmit viruses, malware, or harmful code
  • Impersonate another person or entity
  • Use the App in any way that could damage, disable, or impair our servers
  • Resell or redistribute the App without written permission

Pricing and Payment ​

Free Trial ​

  • New merchants may receive a free trial period (duration specified at signup)
  • No credit card required for the trial period
  • Trial features may be limited compared to paid plans

Subscription Plans ​

  • Pricing plans are displayed on our website and in the App
  • Subscriptions are billed monthly or annually in advance
  • All fees are non-refundable except as required by law
  • We reserve the right to change pricing with 30 days' notice

Payment Terms ​

  • Payment is processed through Shopify's billing system (Embedded Mode) or Stripe (Standalone Mode)
  • You authorize us to charge your payment method for all fees
  • Failed payments may result in service suspension or termination
  • You are responsible for all applicable taxes

Product Data and Pricing ​

Product Data ​

  • Product data is sourced from publicly available data sources and market aggregators
  • We strive for accuracy but do not guarantee completeness or accuracy of all product data
  • Card images and trademarks are property of their respective rights holders
  • We are not affiliated with, endorsed by, or sponsored by any trading card game publishers or manufacturers
  • Merchant acknowledges that the use of TCG imagery may be subject to third-party licenses and agrees to comply with the brand guidelines of the respective copyright holders

Pricing Data ​

  • Pricing data is sourced from market data providers and aggregators
  • Prices are updated regularly but may not reflect real-time market conditions
  • You are solely responsible for final pricing decisions in your store
  • We are not liable for pricing errors, API delays, market fluctuations, or "outlier" data points provided by third-party aggregators
  • The App is a tool for convenience, and the Merchant is the final gatekeeper for all pricing

Automated Pricing Disclaimer ​

IMPORTANT: Automated pricing carries inherent risks. Market prices for collectibles can fluctuate rapidly. API errors, data delays, or incorrect information from third-party sources may result in pricing inaccuracies. You assume all risk for automated pricing and agree that we are not responsible for financial losses resulting from pricing errors, including but not limited to:

  • API errors or delays from market data providers
  • Incorrect or "outlier" pricing data
  • Rapid market fluctuations
  • Products sold at incorrect prices due to system errors

We strongly recommend monitoring your store's pricing and setting appropriate minimum price thresholds.

Your Responsibility ​

  • Review all product data before syncing to your store
  • Verify pricing matches your business requirements
  • Set appropriate minimum prices to protect against errors
  • Monitor your Shopify store regularly for pricing accuracy
  • Ensure compliance with any seller agreements with manufacturers or distributors
  • Review synced products before making them live to customers

Intellectual Property ​

Our Intellectual Property ​

  • The App, including its software, design, features, and documentation, is owned by LGS Forge
  • "LGS Forge" name, logo, and branding are our trademarks
  • You may not use our trademarks without written permission

Your Content ​

  • You retain ownership of your store data, product listings, and customer information
  • You grant us a limited license to access and use your data solely to provide the App's functionality
  • We do not claim ownership of your content

Third-Party Content ​

  • Trading card game names, logos, and related trademarks are property of their respective owners
  • Card images, set symbols, and game symbols are copyright their respective rights holders
  • Pricing data is property of respective market data providers

DMCA Compliance ​

If you believe any content infringes your copyright, contact us at dmca@lgsforge.com with:

  • Identification of the copyrighted work
  • Identification of the infringing material
  • Your contact information
  • A statement of good faith belief
  • A statement under penalty of perjury that the information is accurate
  • Your physical or electronic signature

Data Privacy and Security ​

Data Collection and Use ​

  • We collect and process data as described in our Privacy Policy
  • You consent to data collection and processing by installing the App
  • We implement industry-standard security measures to protect your data

Data Ownership ​

  • You retain ownership of your store and customer data
  • We use your data only to provide App functionality
  • You can request data deletion at any time by uninstalling the App

GDPR Compliance ​

  • We comply with GDPR for merchants in the European Economic Area
  • You have rights to access, rectify, erase, and port your data
  • See our Privacy Policy for details

Service Availability and Support ​

Uptime ​

  • We strive for 99.9% uptime as a performance goal, but do not guarantee uninterrupted availability
  • This uptime goal is not a Service Level Agreement (SLA) and failure to meet this goal does not constitute a breach of contract or entitle the Merchant to credits, refunds, or compensation
  • Scheduled maintenance will be announced in advance when possible
  • We are not liable for downtime caused by third-party services (Shopify, cloud providers, market data sources)

Support ​

  • Support is available via email at support@lgsforge.com
  • Response time varies by subscription plan (typically within 24-48 hours)
  • We do not provide phone support at this time

Service Modifications ​

  • We may modify, suspend, or discontinue features at any time
  • We will provide reasonable notice of significant changes
  • Continued use after changes constitutes acceptance

Limitation of Liability ​

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

No Warranties ​

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or completeness of product or pricing data

Limitation of Damages ​

WE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Pricing errors, automated pricing failures, or incorrect product data
  • Financial losses from products sold at incorrect prices due to API errors or system malfunctions
  • Third-party product infringement claims
  • Damages exceeding the amount you paid us in the 12 months preceding the claim

MERCHANT ASSUMES ALL RISK FOR PRICE AUTOMATION AND AUTOMATED PRODUCT UPDATES.

Maximum Liability ​

OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF:

  • $100 USD, or
  • The amount you paid us in the 12 months preceding the claim

Exceptions ​

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

Indemnification ​

You agree to indemnify, defend, and hold harmless LGS Forge, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your store's sale of products
  • Pricing disputes with customers resulting from automated pricing
  • Product authenticity or counterfeit claims
  • Use of copyrighted TCG imagery in your store
  • Any content you upload or sync through the App

Termination ​

By You ​

  • You may terminate at any time by uninstalling the App
  • Subscription fees are non-refundable upon termination
  • Your data will be deactivated and deleted as described in our Privacy Policy

By Us ​

We may suspend or terminate your access if:

  • You violate these Terms or our Acceptable Use Policy
  • Your account remains inactive for 12+ months
  • You fail to pay applicable fees
  • We are required to do so by law
  • We cease operations (with 30 days' notice)

Effect of Termination ​

Upon termination:

  • Your access to the App will be immediately revoked
  • Your OAuth token will be invalidated
  • Your data will be deactivated (deleted within 30 days)
  • For Standalone Mode users: You have 14 days from termination date to request a CSV export of your data by emailing support@lgsforge.com
  • You remain liable for any outstanding fees
  • Provisions that should survive (indemnification, limitation of liability) remain in effect

Dispute Resolution ​

Governing Law ​

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Informal Resolution ​

Before filing a claim, you agree to contact us at legal@lgsforge.com to attempt informal resolution.

Arbitration ​

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except as prohibited by law.

Class Action Waiver ​

You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions ​

Either party may seek injunctive relief in court to protect intellectual property rights.

General Provisions ​

Entire Agreement ​

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LGS Forge regarding the App.

Modifications ​

We may update these Terms from time to time. Changes will be posted at docs.lgsforge.com/legal/terms-of-service with an updated "Last Updated" date. Material changes will be communicated via email. Continued use after changes constitutes acceptance.

Severability ​

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

No Waiver ​

Our failure to enforce any provision does not constitute a waiver of that provision.

Assignment ​

You may not assign or transfer these Terms without our written consent. We may assign these Terms at any time without notice.

Force Majeure ​

We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, wars, pandemics, internet outages, third-party service failures).

Third-Party Services ​

The App integrates with third-party services (Shopify, market data providers, pricing aggregators). We are not responsible for the availability, accuracy, or actions of these services.

Notices ​

Notices to you may be sent via email to the address associated with your account. Notices to us should be sent to legal@lgsforge.com.

Shopify-Specific Terms ​

Shopify App Agreement ​

By installing the App through the Shopify App Store, you also agree to Shopify's:

Shopify Billing ​

  • Embedded Mode subscriptions are billed through Shopify
  • Charges appear on your Shopify invoice
  • Refunds are processed according to Shopify's policies

App Permissions ​

The App requires various Shopify API permissions to function, including but not limited to:

  • Product management permissions (read_products, write_products)
  • Inventory management permissions (read_inventory, write_inventory)
  • Publication management permissions (read_publications, write_publications)

A complete list of active permissions is visible in your Shopify Admin during app installation. Additional permissions may be requested as new features are added.

You can revoke permissions by uninstalling the App.
